stevensdrake solicitors is pleased to announce that it has advised Clarendon Group on its acquisition of Moriah (Holdings) Limited, including the residential care home known as Moriah House.
The transaction represents an important step for the acquiring company in its expansion plans and further demonstrates stevensdrake solicitors’ strong experience advising clients operating within the care sector.
The deal was structured as a share acquisition, involving a number of legal and regulatory considerations typical of transactions in the care sector. The stevensdrake solicitors team worked closely with the client and their professional advisers to ensure the transaction progressed smoothly and was completed within the required timeframe.
The matter was led by Nusrat Qureishi, Head of Corporate and Commercial, with specialist support from Rodney Peters in the Commercial Property team and James Willis, Head of Employment. The team advised on all aspects of the transaction, including the corporate structure of the acquisition, property considerations relating to the care home premises, and employment matters associated with the transfer of staff.
Working to a particularly tight completion timetable, the team navigated several obstacles and unforeseen delays during the course of the transaction. By maintaining a proactive and solutions-focused approach throughout the process, the team was able to guide the parties to a successful completion.
Nusrat Qureishi, Head of Corporate and Commercial at stevensdrake solicitors, commented:
“We were delighted to support Clarendon Group on this important acquisition. Transactions in the care sector often involve complex regulatory, property and employment considerations, and it was a pleasure to work collaboratively with the client and the wider professional team to deliver the deal within a demanding timeframe.”
A spokesperson for Clarendon Group said:
“The stevensdrake team provided clear, practical advice throughout the transaction and worked tirelessly to ensure completion within a challenging timetable. Their responsiveness, professionalism and understanding of the sector were invaluable, and we are very grateful for their support in bringing this acquisition to a successful conclusion.”
